Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of splxos.com and the SPLX OS application (together, the "Service"), operated by SPLX Group ("SPLX OS," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. This is a standard-form agreement under active review by SPLX Group's counsel and is provided here as our current, good-faith statement of terms.

Description of Service

SPLX OS is a workspace for running the operational work of a business — including projects, strategy, CRM, people, and related modules — accessed through a subscription to the Service.

Accounts

You must provide accurate information when creating an account and are responsible for activity that occurs under your account. Notify us promptly of any unauthorized use. An account is created on behalf of an organization ("workspace"), and workspace administrators control member access.

Use of Service

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorized access to the Service or other accounts;
• Interfere with or disrupt the integrity or performance of the Service; or
• Reverse engineer or resell the Service without our written permission.

Subscriptions & Billing

Paid plans are billed on a subscription basis as described at the time of purchase. Fees are non-refundable except as required by law or as we otherwise state. You may cancel at any time; cancellation takes effect at the end of the current billing period.

Intellectual Property

We retain all rights, title, and interest in the Service, including its software and design. You retain ownership of the content your organization stores in the Service ("workspace content"). You grant us a limited license to host and process workspace content solely to provide the Service to you.

Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of any kind, express or implied, to the fullest extent permitted by law. To the fullest extent permitted by law, SPLX Group will not be liable for indirect, incidental, or consequential damages arising from your use of the Service.

Termination

We may suspend or terminate access to the Service for violation of these Terms or for non-payment. You may stop using the Service and close your account at any time.

Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date above when we do, and, for material changes, provide additional notice.

Governing Law

These Terms are governed by the laws of the jurisdiction in which SPLX Group is organized, without regard to conflict-of-law principles.
